These Terms of Use describe the conditions for using upvantix.io (the “Site”). The Site is operated by UPVANTIX PRIVATE LIMITED (“Upvantix”, “we”, “us” or “our”).

These Terms concern this informational Site. A separate written or electronic agreement will apply to any product, service, pilot, subscription or other business transaction that requires affirmative acceptance.

The Site provides general information about Upvantix, including industrial software, artificial intelligence, AWS consulting and managed services. Site content is not a quotation, binding offer, warranty, professional advice or commitment to provide a product or service.

Availability, scope, specifications, fees, delivery dates, service levels, security commitments and outcomes are established only in an applicable written agreement signed or otherwise accepted by authorised representatives.

You may submit a business enquiry through the Site. Information you provide must be accurate, lawful and information you are entitled to share. An enquiry does not require Upvantix to respond, provide a proposal, begin work or enter into a contract. Our handling of submitted information is described in the Privacy Policy.

You may use the Site for lawful personal and legitimate business-evaluation purposes.

You must not:

• interfere with or disrupt the Site or attempt to bypass its security controls;
• probe, scan or test vulnerabilities without Upvantix’s prior written authorisation;
• use automated means to scrape, harvest or copy the Site contrary to law or applicable technical controls;
• submit unlawful, deceptive, malicious, infringing or harmful content;
• impersonate another person or misrepresent your authority or affiliation; or
• use the Site in a way that violates law or harms Upvantix, users or providers.

The Site and its text, design, marks, logos, graphics, software and arrangement are owned by or licensed to Upvantix and protected by applicable law. You may view the Site for its intended purpose. Except where law permits otherwise, you may not reproduce, modify, distribute, publicly display, create derivative works from or commercially exploit Site content without our prior written permission.

The Site may refer or link to third-party websites, products or services. Those materials are provided for context or convenience. Upvantix does not control and is not responsible for their availability, content, security or privacy practices. Your use of a third-party service is governed by that provider’s terms and notices.

We may update, suspend, restrict or withdraw all or part of the Site where permitted by law. We do not promise that the Site will always be available, uninterrupted, error-free, current or compatible with every browser or device.

To the maximum extent permitted by applicable law, the Site and its content are provided “as is” and “as available” without express or implied warranties, including warranties of accuracy, availability, fitness for a particular purpose, merchantability, title or non-infringement. Nothing in these Terms excludes a warranty, right or remedy that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Upvantix and its directors, officers, employees and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, goodwill, data, business opportunity or business interruption arising from use of or inability to use the Site. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

If you enter into a written agreement with Upvantix for a product, service, pilot or other business relationship, that agreement governs its subject matter and prevails over these Terms if there is a conflict. The Site does not amend an existing agreement.

These Terms are governed by the laws of India. Subject to any mandatory rights or forums that apply, the competent courts at Ahmedabad, Gujarat, India will have jurisdiction over disputes concerning the Site or these Terms.

We may update these Terms prospectively. We will publish the revised effective date and, where required, provide additional notice or obtain fresh acceptance for a material change.

If a provision of these Terms is held invalid or unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision is not a waiver of that provision. These Terms do not create a partnership, agency, employment or joint venture between you and Upvantix.
